What is a PT PMA?

A PT PMA (Perseroan Terbatas Penanaman Modal Asing) is an Indonesian limited liability company that allows foreign individuals or foreign companies to own shares in an Indonesian business.

For foreigners planning to invest in Indonesia, including certain property-related investments and businesses, a PT PMA can form an important part of the overall investment structure.

The exact structure required will depend on what you intend to do with the company, so professional advice should always be obtained before proceeding.

How Do You Set Up a PT PMA?

Here is the process in simple terms.

1. Decide Who Will Own the Company

A PT PMA generally requires at least two shareholders.

You will also need to determine the company’s directors and commissioners and select a company name and registered Indonesian business address.

2. Choose the Company’s Business Activities

You need to determine exactly what the company will be used for.

Indonesia classifies business activities using KBLI codes. Selecting the correct KBLI is important because it determines what the company is permitted to do and what additional licences may be required.

This is one of the areas where working with an experienced Notary and professional adviser is particularly important.

3. Establish the Company Through an Indonesian Notary

An Indonesian Notary prepares the company’s Deed of Establishment (Akta Pendirian) and the necessary company documentation.

The company is then submitted for government approval and formally registered.

4. Obtain the Company’s Tax Registration

Once established, the company will obtain its NPWP, or Indonesian tax identification number.

5. Register Through the OSS System

The company is registered through Indonesia’s Online Single Submission (OSS) system.

Through OSS, the company receives its NIB (Nomor Induk Berusaha), which is the official business identification number used to start or operate a business in Indonesia.

Depending on the company’s activities and risk classification, additional licences, certificates or approvals may also be required. Indonesia’s current OSS system uses a risk-based approach to determine these requirements.

What Are the PT PMA Capital Requirements?

As a general guideline, current Indonesian investment guidance states that a PT PMA typically requires:

Minimum investment plan: more than IDR 10 billion

Minimum paid-up capital: IDR 2.5 billion

The exact requirements can vary depending on the company’s activities and investment structure, so these figures should always be confirmed for your particular situation before establishing the company.
